Welcome to CoinToRise ("Platform", "we", "us", or "our"). By accessing or using our website, mobile application, or any of our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree with these Terms, please do not use our Platform.

These Terms constitute a legally binding agreement between you and CoinToRise regarding your use of the Platform. We may update these Terms from time to time, and continued use of the Platform constitutes acceptance of any modifications.

CoinToRise is a cryptocurrency information and promotion platform that allows users to:

• Discover and research cryptocurrency tokens and projects
• Add new coins and tokens to our database
• Vote on coins to increase their visibility
• Purchase promotional services for cryptocurrency projects
• Access real-time market information and crypto news
• Participate in our affiliate program
• Connect with the broader cryptocurrency community

Our services are provided on an "as is" and "as available" basis. We do not guarantee that our Platform will always be available, uninterrupted, secure, or error-free. We reserve the right to modify, suspend, or discontinue any part of our services at any time without prior notice.

By using CoinToRise, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into these Terms
• You are not using the Platform from a jurisdiction where access to or use of the Platform would be illegal or prohibited
• You have not previously been suspended or removed from the Platform
• You are responsible for ensuring your use complies with all applicable local, state, national, and international laws and regulations

If you are accessing or using the Platform on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these Terms.

To access certain features of the Platform, you may need to create an account. When creating your account, you agree to provide accurate, current, and complete information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to:

• Immediately notify us of any unauthorized use of your account or any other breach of security
• Ensure that you exit from your account at the end of each session
• Not share your account credentials with any third party
• Not create more than one account per person
• Not use another user's account without permission

We reserve the right to disable any user account at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms.

Our Platform allows users to post, upload, or submit content, including but not limited to: cryptocurrency listings, comments, reviews, and other materials ("User Content"). You retain ownership rights in your User Content, but you grant CoinToRise a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute your User Content in connection with the Platform.

You represent and warrant that:

• You own or have the necessary rights to your User Content
• Your User Content does not violate the privacy, publicity, copyright, or other rights of any person
• Your User Content is accurate and not misleading

You agree not to post or transmit any User Content that:

• Is illegal, fraudulent, deceptive, or manipulative
• Constitutes market manipulation, including "pump and dump" schemes
• Contains false or misleading information about cryptocurrencies or projects
• Infringes on intellectual property rights
• Contains malware, viruses, or other harmful code
• Is spam, pyramid schemes, or unsolicited advertising
• Is defamatory, obscene, pornographic, vulgar, or offensive
• Promotes discrimination, racism, hatred, or harm against any group or individual
• Is threatening, abusive, or invades another's privacy

We reserve the right, but are not obligated, to monitor, edit, or remove any User Content at our sole discretion.

CoinToRise offers various promotional services for cryptocurrency projects, including but not limited to: banner advertisements, featured listings, and other promotional placements. These services are subject to separate terms that will be presented at the time of purchase.

For promotional services:

• All promotional content is subject to review and approval by CoinToRise
• We reserve the right to reject or remove promotional content at our discretion
• Fees for promotional services are non-refundable unless explicitly stated otherwise
• Placement, visibility, and effectiveness of promotional services are not guaranteed
• We may temporarily suspend promotional services for maintenance or other reasons

You represent and warrant that any promotional content you submit:

• Is accurate, truthful, and not misleading
• Complies with all applicable laws and regulations, including those governing advertising
• Does not infringe upon third-party rights
• Does not promote illegal activities or securities fraud

CoinToRise does not endorse any cryptocurrency, token, or project through its promotional services. Promotional placement does not constitute investment advice or a recommendation by CoinToRise.

CoinToRise offers an affiliate program that allows users to earn commissions by referring others to the Platform. Participation in the affiliate program is subject to these Terms and any additional terms specific to the affiliate program.

As an affiliate:

• You will receive a unique referral link to share with potential users
• You will earn a commission on qualifying purchases made by users you refer
• Commissions are calculated based on the tiered structure outlined in the affiliate dashboard
• Commissions are paid in SOL (Solana) cryptocurrency
• The minimum payout threshold is 0.1 SOL
• Payout requests are processed within 72 hours

Prohibited affiliate activities include:

• Self-referrals or creating multiple accounts to generate commissions
• Bidding on CoinToRise branded keywords in search engines
• Using misleading or deceptive promotion tactics
• Spamming or sending unsolicited communications
• Making false claims about CoinToRise or its services

We reserve the right to modify affiliate commission rates, payment terms, or program structure at any time. We may also terminate your participation in the affiliate program for any violation of these Terms.

CoinToRise accepts payments in various cryptocurrencies for promotional services and other features. By making a payment:

• You agree to pay the specified amount in the selected cryptocurrency
• You acknowledge that cryptocurrency transactions cannot be reversed once confirmed
• You are responsible for sending the exact amount to the specified wallet address
• You accept the risks associated with cryptocurrency transactions, including price volatility
• You understand that services will only be activated after payment confirmation

Payment processing times depend on blockchain network conditions. CoinToRise is not responsible for transactions that are lost, delayed, or unconfirmed due to network issues.

For affiliate program payouts:

• You must provide a valid Solana wallet address
• You are responsible for any taxes applicable to your commissions
• Payments may be delayed or withheld if suspicious activity is detected
• Unclaimed commissions may expire after 12 months of account inactivity

All content on the Platform, including but not limited to text, graphics, logos, icons, images, audio, video, software, and data compilations, is the property of CoinToRise or its licensors and is protected by international copyright, trademark, and other intellectual property laws.

The CoinToRise name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of CoinToRise or its affiliates. You may not use these marks without our prior written permission.

You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform for personal, non-commercial purposes. This license does not include:

• Modifying or copying the Platform materials
• Using the Platform for any commercial purpose
• Attempting to decompile or reverse engineer any software on the Platform
• Removing any copyright or proprietary notations
• Transferring the materials to another person or "mirroring" the materials on any other server

This license shall automatically terminate if you violate any of these restrictions, and we may terminate this license at any time.

To the maximum extent permitted by law, CoinToRise and its directors, employees, partners, agents, suppliers, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Platform
• Any conduct or content of any third party on the Platform
• Any content obtained from the Platform
• Unauthorized access, use, or alteration of your transmissions or content
• Investment decisions made based on information on the Platform
• Cryptocurrency market volatility or project failures

In no event shall our total liability to you for all claims exceed the amount you have paid to CoinToRise for use of the Platform in the six months preceding the claim.

You agree to defend, indemnify, and hold harmless CoinToRise and its directors, officers, employees, partners, agents, contractors, licensors, service providers, subcontractors, suppliers, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your User Content or promotional materials
• Your use of the Platform, including but not limited to any use of the Platform's content, services, or products other than as expressly authorized
• Your violation of any law, regulation, or third-party right

This indemnification obligation shall survive the termination of your account and these Terms.

We reserve the right to modify, amend, or update these Terms at any time in our sole discretion. If we make changes, we will:

• Post the updated Terms on the Platform
• Update the "Last Updated" date at the top of the Terms
• In some cases, notify users of significant changes via email or Platform notification

Your continued use of the Platform after the posting of modified Terms constitutes your acceptance of such changes. If you do not agree to the changes, you should discontinue your use of the Platform.

It is your responsibility to review these Terms periodically for changes. We encourage you to check this page regularly to stay informed about our practices.

These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or your use of the Platform shall first be attempted to be resolved through informal negotiations. Notwithstanding the foregoing, we reserve the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property rights.

If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason:

• Such provision shall be eliminated or limited to the minimum extent necessary
• The remaining provisions will continue in full force and effect
• The invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision

The unenforceability of any provision shall not affect the enforceability of any other provision.
